This Agreement is an official and public offer by the Seller to conclude a purchase and sale contract for Goods by placing an order on the website www.krolikoff.com.ua. This Agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers (who purchase goods on the online store) regardless of their status (individual, legal entity, or sole proprietor) without giving preference to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedures of ordering, payment, delivery, return of Goods, liability for fraudulent orders, and all other terms of the Agreement. The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic order confirmation from the Seller.
1. Definitions
1.1. Public Offer (hereinafter – the “Offer”) – a public proposal by the Seller, addressed to an indefinite number of persons, to conclude a distance purchase and sale agreement (hereinafter – the “Agreement”) under the terms specified in this Offer.
1.2. Goods – the subject of the transaction between the Parties, selected by the Buyer on the online store’s website and placed in the cart, or already purchased by the Buyer from the Seller remotely.
1.2. Online Store – the Seller’s website located at www.krolikoff.com.ua, created for concluding retail purchase and sale agreements based on the Buyer’s acquaintance with the Seller’s product descriptions via the Internet.
1.3. Buyer – a legally capable individual who has reached the age of 18, who receives information from the Seller, places orders for purchasing Goods presented on the online store’s website for purposes not related to business activity, or a legal entity or sole proprietor.
1.4. Seller – Limited Liability Company “KROLIKOFF PLUS” (identification code 38656470), a legal entity established and operating in accordance with the current legislation of Ukraine, located at: 61 Yabluneva St., Dzenzelivka village, Uman district, Cherkasy region
2. Subject of the Agreement
2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of concluding the Offer Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement shall be the date the Buyer fills out the order form on the online store’s website, provided the Buyer receives electronic confirmation of the order from the Seller. If necessary and at the Buyer’s request, the Agreement may be executed in writing.
2.3. The Seller may refuse to sell Goods during warm seasons if delivery by the Seller’s temperature-controlled transport is impossible and if the delivery service chosen by the Buyer cannot maintain the required temperature conditions, which may cause the Goods to lose quality during transport.
3. Placing an Order
3.1. The Buyer independently places an order in the Online Store through the “Cart” form, or by placing an order via email or by calling the phone number listed in the Online Store’s contact section.
3.2. The Seller has the right to refuse to transfer the order to the Buyer if the information provided by the Buyer during the ordering process is incomplete or raises doubts regarding its validity.
3.3. When placing an order on the Online Store’s website, the Buyer agrees to provide the following mandatory information required by the Seller to fulfill the order:
3.3.1. the Buyer’s last name and first name;
3.3.2. the address to which the Goods should be delivered (if delivery to the Buyer’s address is required);
3.3.3. a contact phone number;
3.3.4. the identification code for a legal entity or a sole proprietor.
3.4. The name, quantity, article number, and price of the Goods selected by the Buyer are indicated in the Buyer’s cart on the Online Store’s website.
3.5. If either Party to the Agreement requires additional information, it has the right to request it from the other Party. If the Buyer fails to provide the necessary information, the Seller is not responsible for the proper provision of service to the Buyer when purchasing goods in the online store.
3.6. When placing an order through the Seller’s operator (p. 3.1 of this Offer), the Buyer agrees to provide the information specified in p. 3.3–3.4 of this Offer.
3.7. The Buyer’s acceptance of the terms of this Offer is carried out by entering the appropriate data into the registration form on the Online Store’s website or when placing an order through the operator. After placing the order through the operator, the Buyer’s data is entered into the Seller’s database.
3.8. The Buyer is responsible for the accuracy of the information provided when placing the Order.
3.9. By concluding the Agreement, i.e., by accepting the terms of this offer (the proposed terms for purchasing the Goods) through placing the Order, the Buyer confirms the following:
a) the Buyer is fully informed of and agrees with the terms of this offer;
b) the Buyer gives consent to the collection, processing, and transfer of personal data. The consent for personal data processing is valid for the entire duration of the Agreement as well as for an unlimited period after its termination. Furthermore, by entering into the Agreement, the Buyer confirms that they have been informed (without additional notice) of the rights established by the Law of Ukraine “On Personal Data Protection,” of the purposes of data collection, and that their personal data is transferred to the Seller for the purpose of fulfilling this Agreement, enabling mutual settlements, and receiving invoices, acts, and other documents. The Buyer also agrees that the Seller has the right to grant access to and transfer the Buyer’s personal data to third parties without any additional notification to the Buyer for the purpose of fulfilling the Buyer’s order. The scope of the Buyer’s rights as a personal data subject in accordance with the Law of Ukraine “On Personal Data Protection” is known and understood by the Buyer.
4. Price and Delivery
4.1. Prices for Goods and services are determined by the Seller and listed on the website in UAH including VAT.
4.2. Prices may be changed unilaterally, except for Goods already paid for in full.
4.3. The listed price does not include delivery costs. Delivery is paid directly to the delivery service.
4.4. Delivery to the Buyer’s address is also not included in the product price.
4.5. The Seller may provide an estimated delivery cost upon request.
4.6. The Buyer’s payment obligations are fulfilled when the funds are credited to the Seller’s account.
4.7. Payments are made using the methods listed on the website under “Payment and Delivery.”
4.8. Upon receiving Goods, the Buyer must inspect them for quantity and quality.
4.9. By signing the receipt or delivery note, the Buyer confirms that no claims exist regarding quantity or appearance.
4.10. Ownership and risk transfer to the Buyer:
A) upon receiving the Goods from the Seller’s transport;
B) upon transferring the Goods to the delivery service selected by the Buyer.
4.11. When delivery is performed by a third-party courier service, the Seller is not responsible for temperature conditions or preservation of quality.
5. Rights and Obligations
5.1. Seller’s obligations:
- Deliver Goods in accordance with the Agreement;
- Not disclose Buyer information except as required by law or for order fulfillment.
5.2. Seller’s rights:
- Change Agreement terms and prices unilaterally by posting updates on the website.
5.3. Buyer’s obligations:
- Review the Agreement and prices before ordering;
- Provide accurate information required for order fulfillment.
6. Return of Goods
6.1. According to Ukrainian law, food products cannot be returned.
6.2. If Goods of inadequate quality are received, the Buyer may submit a complaint within 1 day of receiving the Goods.
6.3. The Seller is not responsible for loss of quality during delivery by third-party services.
7. Liability
7.1. The Parties are liable according to Ukrainian law.
7.2. Neither Party is liable for non-performance due to force majeure such as war, earthquakes, floods, fires, or other natural disasters.
8. Confidentiality and Personal Data Protection
8.1. By providing personal data on the website, the Buyer consents to its processing and transfer.
8.2. The Seller does not disclose Buyer information except to contractors for order fulfillment or when required by law.
8.3. The Buyer is responsible for keeping their personal data up to date.
9. Other Provisions
9.1. This Agreement is concluded in Ukraine and governed by Ukrainian law.
9.2. Disputes are resolved through negotiations or, if unresolved, in court.
9.3. The Seller may amend the Agreement unilaterally as provided in clause 5.2.1.
